Please read this Agreement carefully before registering. By ticking the acceptance checkbox during registration, you agree to be bound by this Agreement.
1. Definitions
- "Vendor" — Sethuve Software Developers, No. 106, 13th Main Road, Gokula, Mathikere, Bengaluru – 560 054, Karnataka, India.
- "Software / Service" — Sethuve HRMS cloud-based HR management system, including all modules, updates, and APIs.
- "Subscriber" — the company or individual who registers for and uses the Service.
- "Users" — the Subscriber's employees, managers, and administrators accessing the Service.
2. License Grant
Subject to payment of applicable fees and compliance with this Agreement, the Vendor grants a limited, non-exclusive, non-transferable, revocable license to access and use the Software for internal HR management purposes only. No software is installed on the Subscriber's servers. No ownership rights are transferred.
3. Restrictions
The Subscriber shall not: sub-license, resell, reverse-engineer, use to build competing products, remove proprietary notices, store unlawful content, gain unauthorised access, or share login credentials among multiple Users.
4. Subscription, Billing & Trial
4.1 Free Trial
- A 7-day free trial is available to new Subscribers. Only one trial per company (identified by email and mobile) is permitted.
- Trial accounts are limited to 10 active employees. Duplicate or abusive accounts may be terminated.
- No payment information is required during the trial.
4.2 Paid Subscriptions & Pricing
- Billed monthly (30-day) or annually (365-day) as selected. Payments via Razorpay. An invoice is emailed after each payment.
- Pricing follows a graduated slab structure based on the number of active employees:
- First 50 employees — ₹70 per employee per month
- Employees 51–250 — ₹60 per employee per month (on the incremental count only)
- Employees 251–500 — ₹55 per employee per month (on the incremental count only)
- Above 500 employees — custom enterprise pricing; contact the Vendor.
- Annual plans are billed upfront for 12 months at an 8% discount on the monthly equivalent. The annual discount applies only to the contracted employee count at the time of purchase.
- All prices shown are final. No additional taxes are charged.
4.3 Renewal
- Subscriptions are not auto-renewed. Renewal reminders are sent at 30, 15, and 7 days before expiry.
4.4 Non-Renewal Lifecycle
- Grace (7 days): Full access, warning banner displayed.
- Read-Only (30 days): HR Admin read access only; ESS submissions blocked.
- Suspended: All access blocked. Data retained 90 days, then permanently deleted.
Note: Unpaid differential invoices (overage employees) do not trigger the above lifecycle. Service continues uninterrupted; a payment reminder banner is displayed until settlement. See Section 4.5.
4.5 Differential Billing for Additional Employees
- The Subscriber's plan covers a fixed maximum number of active employees ("Plan Limit"). The Vendor permits employees to be added beyond this limit without blocking access.
- Employees added beyond the Plan Limit are designated overage employees. Each overage employee is billed at the applicable graduated monthly slab rate for their position in the total headcount, regardless of whether the base plan was purchased monthly or annually.
- Overage charges are pro-rated based on the number of calendar days the employee was active within the billing month (days active ÷ days in month × monthly rate).
- A differential invoice is generated automatically on the 1st of each calendar month for overage employees active in the previous month. The invoice is emailed with a Razorpay payment link and is due within 7 days of issue.
- Annual plan Subscribers: overage employees are billed monthly at the standard monthly rate. The annual discount does not apply to differential billing.
- Non-payment of differential invoices does not suspend or restrict access. A persistent payment reminder banner will be displayed within the HRMS portal until the outstanding invoice is settled. The Vendor reserves the right to suspend accounts with invoices unpaid for more than 60 days.
- Differential invoices are separate from the base subscription renewal and do not affect the subscription expiry date.
4.6 Refunds
Fees are non-refundable once processed, except where required by law. Contact support@sethuve.co.in within 7 days of a disputed transaction.
5. Account Registration & Security
Accurate information including a valid mobile number is required. The Subscriber is responsible for maintaining credential confidentiality and must notify the Vendor immediately of any unauthorised access.
6. Statutory Compliance — Important Disclaimer
⚠️ Please read this section carefully.
Sethuve HRMS assists with HR and payroll operations and incorporates statutory calculations (TDS, PF, ESI, PT, Bonus, Gratuity, etc.). While every reasonable effort is made to keep calculations accurate and compliant, the Vendor does not accept any liability for:
- Errors or omissions in statutory calculations or compliance outputs;
- Penalties, interest, demands, or prosecution from incorrect statutory filings;
- Changes in law not yet incorporated into the Software;
- Jurisdiction-specific variations or incorrect configuration by the Subscriber.
The Subscriber is solely responsible for verifying all outputs, consulting qualified advisors, and ensuring compliance with all applicable laws.
7. Data Ownership & Privacy
The Subscriber retains full ownership of all employee data. The Vendor will not disclose data except as necessary to provide the Service or as required by law. Data is stored in India. Upon termination, data is retained 90 days then permanently deleted.
8. Intellectual Property
The Software and all related intellectual property is the exclusive property of the Vendor. No IP rights are transferred to the Subscriber.
9. Limitation of Liability
The Software is provided "as is". The Vendor's total liability shall not exceed subscription fees paid in the 3 months preceding the claim. The Vendor is not liable for indirect, consequential, or punitive damages.
10. Indemnification
The Subscriber agrees to indemnify the Vendor from claims arising from misuse, breach of Agreement, statutory non-compliance from incorrect configuration, or employee claims related to incorrect salary or HR actions.
11. Service Availability & Modifications
The Vendor targets 99% uptime but does not guarantee uninterrupted access. Features may be modified at any time with advance notice via email.
12. Termination
The Subscriber may terminate by not renewing (no refund for unused periods). The Vendor may suspend or terminate immediately for breach, false information, abusive use, or non-payment.
13. Governing Law & Dispute Resolution
Governed by the laws of India. Disputes subject to exclusive jurisdiction of courts in Bengaluru, Karnataka, India.
14. Miscellaneous
This Agreement is the entire agreement between the parties. Standard severability, waiver, and assignment clauses apply.
